3. Client Responsibilities

Clients engaging our services agree to:

  • • Provide accurate and complete project requirements
  • • Respond to communications within reasonable timeframes
  • • Provide necessary access to systems and accounts
  • • Review and approve deliverables promptly
  • • Maintain confidentiality of proprietary information
  • • Pay invoices according to agreed payment terms

4. Payment Terms

Payment terms for our services are as follows:

  • • 50% advance payment required to commence work
  • • Remaining 50% due upon project completion
  • • Payment accepted via bank transfer, UPI, or online payment
  • • Invoices are due within 15 days of issue
  • • Late payments may incur additional charges
  • • All prices are in Indian Rupees (INR) unless specified

5. Intellectual Property Rights

Intellectual property ownership is governed as follows:

  • • Client retains ownership of their existing content and materials
  • • TRIYAK retains ownership of proprietary tools and frameworks
  • • Final deliverables become client property upon full payment
  • • TRIYAK may showcase completed work in portfolio
  • • Third-party licenses and assets remain under their respective terms

6. Confidentiality

Both parties agree to maintain strict confidentiality:

  • • Protect proprietary and confidential information
  • • Use confidential information only for project purposes
  • • Maintain confidentiality for 3 years after project completion
  • • Return or destroy confidential materials upon request
  • • Exceptions apply for publicly available information

7. Limitation of Liability

TRIYAK Digital Agency's liability is limited as follows:

  • • Maximum liability limited to total project fees paid
  • • Not liable for indirect, incidental, or consequential damages
  • • Not liable for third-party actions or external factors
  • • Force majeure events exempt from liability
  • • Client responsible for data backup and security

8. Termination

Either party may terminate the agreement:

  • • With 30 days written notice
  • • Immediately for material breach of terms
  • • Upon mutual agreement
  • • Client responsible for payment of work completed
  • • TRIYAK to deliver completed work within 15 days

9. Governing Law and Disputes

These terms are governed by Indian law:

  • • Governed by laws of India
  • • Jurisdiction: Courts of Jaipur, Rajasthan
  • • Disputes resolved through mutual discussion first
  • • Mediation or arbitration if required
  • • Legal proceedings as last resort

10. Updates to Terms

TRIYAK Digital Agency reserves the right to update these terms:

  • • Terms may be updated periodically
  • • Clients notified of significant changes
  • • Continued use constitutes acceptance of updates
  • • Previous versions available upon request
  • • Changes effective 30 days after notification
