By accessing and using TRIYAK Digital Agency's services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

These terms apply to all services provided by TRIYAK Digital Agency, including but not limited to web development, mobile app development, digital marketing, AI solutions, and consulting services.

TRIYAK Digital Agency provides comprehensive, high-tier digital transformation services including:

Clients engaging our services agree to collaborate effectively to ensure timely delivery:

• 1.Provide accurate and comprehensive project requirements, files, and copy materials.
• 2.Respond to critical technical communications and design drafts within 3 business days.
• 3.Provide necessary access credentials to hosting, domain DNS, and service accounts.
• 4.Review, audit, and provide structured approval of project milestones.
• 5.Maintain absolute confidentiality regarding TRIYAK proprietary workflows, tools, and pricing plans.
• 6.Fulfil invoice payment schedules in accordance with agreed proposal milestones.

Professional engagement invoices are issued and settled according to strict criteria:

• Advance Payment:A standard 50% mobilization deposit is required to cue engineering schedules.
• Completion Due:The remaining 50% milestone payment is due immediately upon client sign-off or deployment.
• Methods:Settlement is accepted via Bank Wire Transfer (NEFT/RTGS), Unified Payments Interface (UPI), or authorized online gateway.
• Timeline:All invoices have a standard grace period of 15 calendar days from the date of issuance.
• Late Fees:Outstanding payments beyond the grace period may incur a surcharge of 1.5% interest per month.

Ownership of intellectual property (IP) is transferred and protected as follows:

• The Client retains all rights and titles to content, assets, and branding provided to TRIYAK.
• TRIYAK retains full ownership of pre-existing software tools, modules, templates, libraries, and proprietary architectures utilized in project execution.
• Upon 100% invoice clearance, TRIYAK transfers all custom project source code, design assets, and compiled layouts exclusively to the client.
• TRIYAK reserves the right to showcase screenshots, case studies, and design patterns of the completed project in our public marketing portfolios unless otherwise restricted by a signed Non-Disclosure Agreement (NDA).

Both TRIYAK and the Client agree to prevent unauthorized disclosure of proprietary information:

Confidential information includes but is not limited to: proprietary technologies, backend architecture details, business plans, sales figures, donor lists (for NGO platforms like FundsForAll), and custom user designs.

This confidentiality obligation remains in full force and effect during project execution and for a period of three (3) years post-termination.

Under no circumstances shall TRIYAK be liable for damages exceeding project transaction totals:

THE TOTAL AGGREGATE LIABILITY OF TRIYAK FOR ANY CLAIMS ARISING FROM SERVICES IS CONTRACTUALLY LIMITED TO THE EXACT FEE AMOUNT PAID BY THE CLIENT TO TRIYAK FOR THE SPECIFIC SERVICE IN QUESTION. TRIYAK SHALL NOT BE HELD LIABLE FOR LOSS OF PROFITS, DATA CORRUPTION, OR INDIRECT BUSINESS INTERRUPTIONS.

Agreements and contracts may be terminated under the following conditions:

• Either party may terminate with 30 days written notice via registered email.
• Immediate termination is invoked in cases of material breach, unethical conduct, or non-payment.
• In cases of early termination, the client remains responsible for payment of all verifiable work hours and milestones achieved up to the termination date.

These terms are governed and construed in accordance with the laws of the Republic of India:

Any legal disputes, actions, or proceedings arising out of this agreement shall fall under the exclusive jurisdiction of the competent courts in **Jaipur, Rajasthan, India**. The parties agree to attempt amicable resolution via mediation before pursuing litigation.

TRIYAK reserves the right to modify these terms as legislation or agency standards evolve. Major updates will be broadcast to clients via email, while minor changes will be updated on this page with an adjusted date stamp.
